Agreement to terms

By accessing the Stratimind platform or initiating a diagnostic session, you confirm that you have read, understood, and agree to be bound by these Terms of Service in their entirety. Stratimind is the official English trading name of its operating legal entity. All references to "Stratimind," "the Platform," "We," or "Us" refer to the service and its operating entity. These Terms constitute a binding legal agreement between you and Stratimind. If you do not agree, do not proceed.

By completing payment and initiating a session, you further confirm that you are at least 18 years of age, are acting in a professional or commercial capacity, and have the legal authority to bind yourself or your organisation to these Terms.

Nature of the service

Stratimind is a proprietary strategic intelligence system — purpose-built to provide the independent, outside perspective on your strategic commitment that is almost never available at the moment it matters most. It examines what your existing rationale rests on, cross-references your inputs against relevant market reference data where applicable, and surfaces the assumptions and gaps that proximity to your own decision makes it difficult to see.

The output is a bespoke Strategic Assessment — Venture Viability Report: a comprehensive analytical work product constructed from the intelligence you provide during the session, examined through a proprietary methodology built on extensive real-world advisory and executive practice. Its value lies in the independent perspective it brings to what you already know — surfacing what conviction, momentum, and well-aligned advisors routinely leave unexamined.

No Professional Advisory Relationship. Stratimind provides analytical opinion tools — not professional, licensed, or regulated advisory services of any kind. Nothing in any Stratimind output constitutes legal advice, financial advice, investment advice, accounting advice, tax advice, medical advice, or any other form of regulated professional advice. No engagement with Stratimind creates a fiduciary relationship, a client-adviser relationship, or any duty of care beyond the delivery of a software-generated analytical output. Stratimind is not a registered investment adviser, broker-dealer, law firm, accounting firm, or any other regulated professional service provider in any jurisdiction. You remain solely and exclusively responsible for all business, financial, legal, and strategic decisions made following your engagement, regardless of any analytical output produced by the platform.

On analytical integrity: The Stratimind engine applies advanced reasoning models as one component of a broader proprietary intelligence architecture. All outputs represent structured analytical opinion generated by artificial intelligence systems. AI-generated outputs may contain errors, omissions, or assessments that do not reflect ground-truth conditions. Conclusions must be independently verified before being acted upon in connection with any material business commitment.

External advisory nature

Stratimind is an independent external analytical service. Engaging with the platform is equivalent to engaging an independent external analytical consultant operating under a clearly defined scope. It requires no integration with your organisation's internal IT systems, databases, internal networks, or internal data infrastructure. As an externally hosted service accessed via standard web protocols, it typically falls outside the scope of internal IT security software audits applicable to internally deployed systems, and remains within the professional discretion of the individual executive user.

Stratimind does not act as your agent, representative, or fiduciary in any capacity. Analytical outputs do not reflect the views or recommendations of any affiliated, associated, or partnering organisation.

Founding Cohort access & pricing

Standard Retail Value: The standard fee for a Strategic Assessment — Venture Viability Report is $2,499.00 USD.

Founding Cohort Access: For a limited time, eligible users may access the service at the Founding Cohort rate of $999.00 USD. This rate reflects early-access positioning and is subject to change without notice once the Founding Cohort allocation is closed.

Payment must be made in full through our authorised payment processor before session access is granted. By completing payment, you authorise the charge and confirm your intent to begin the session. All fees are quoted in United States Dollars (USD). You are responsible for any applicable taxes, duties, or currency conversion fees imposed by your financial institution or applicable law.

Refund policy

Due to the bespoke, digital nature of this service — whereby a custom Strategic Assessment — Venture Viability Report is generated exclusively for you — the service is considered fully rendered once your session has been initiated and your report generated. As is standard practice for custom professional analytical services, sales are generally non-refundable once the service has been delivered.

Refund eligibility. A full refund will be issued without dispute in the following circumstances: (1) a verified technical failure on Stratimind's platform that prevents session initiation or report delivery, confirmed within 48 hours of the attempted session; or (2) duplicate billing caused by a demonstrable payment processing error. To request a refund under either ground, contact support@stratimind.org within 48 hours, including your session ID and a description of the issue. Eligible refunds are processed within 5–10 business days.

Refunds are not available on the basis of dissatisfaction with strategic conclusions reached. The quality and utility of analytical output is necessarily dependent on the accuracy, completeness, and candour of the information you provide during your session. Stratimind expressly disclaims any warranty — express or implied — as to the accuracy, completeness, or commercial utility of any analytical output.

Accuracy of information

The quality of your assessment is directly and exclusively determined by the accuracy and completeness of the information you provide. You warrant that all information submitted is, to the best of your knowledge, accurate, complete, and not deliberately misleading. Stratimind does not independently verify the factual accuracy of any information submitted during a session. Any analytical output produced on the basis of inaccurate, incomplete, or misleading inputs is provided entirely at your risk, and Stratimind accepts no liability for conclusions derived from such inputs.

Limitation of liability — general

Liability Cap. To the maximum extent permitted by applicable law in any jurisdiction, Stratimind's total aggregate liability to you arising from or in connection with any single session, whether in contract, tort (including negligence), misrepresentation, statute, or otherwise, shall not exceed the total fees actually paid by you for that session. Under Founding Cohort pricing, this cap is $999.00 USD. Under standard pricing, this cap is $2,499.00 USD.

Stratimind shall not be liable for any indirect, consequential, special, incidental, exemplary, or punitive damages of any kind, including but not limited to: loss of profits; loss of revenue; loss of business opportunity; loss of anticipated savings; loss of data; damage to reputation; damage to goodwill; or any business interruption — even if Stratimind has been advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by applicable law, including liability for fraud, fraudulent misrepresentation, death, or personal injury caused by negligence.

Limitation of liability — United States users

Additional provisions for users located in the United States. The following provisions apply to users who are residents of, or accessing the platform from, the United States, and shall be construed in addition to the general liability limitations set out above.

(a) No Professional Liability. Stratimind's analytical output does not constitute the provision of professional services within the meaning of any applicable state or federal professional liability statute. No engagement with Stratimind creates any duty of care analogous to that owed by a licensed attorney, financial adviser, investment adviser, broker-dealer, certified public accountant, or other licensed professional under the laws of any US state or federal jurisdiction.

(b) Analytical Opinion Only. All output produced by the platform constitutes analytical opinion for informational purposes only. It is not a recommendation, endorsement, or solicitation to take any particular business, investment, or legal action. You expressly acknowledge that you have not relied upon any Stratimind output as the basis for any material financial, commercial, or strategic decision without obtaining independent professional advice.

(c) Aggregate Liability Cap. Notwithstanding any other provision of these Terms, Stratimind's total aggregate liability to any US user shall not exceed the fees paid for the relevant session, as stated above. This limitation applies regardless of the form of action, whether in contract, tort, statute, equity, or otherwise.

(d) Waiver of Class Actions. You agree that any claim arising from your use of the platform shall be brought solely in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. You waive any right to bring or participate in a class action, consolidated action, or representative action against Stratimind.

(e) Indemnification. You agree to indemnify, defend, and hold harmless Stratimind and its officers, directors, employees, agents, and licensors from and against any claim, liability, loss, damage, cost, or expense (including reasonable attorneys' fees) arising from: (i) your use of the platform; (ii) your violation of these Terms; (iii) your violation of any applicable law or regulation; or (iv) any third-party claim arising from decisions made in reliance on Stratimind's analytical output.

Intellectual property

You retain full ownership of your Strategic Assessment — Venture Viability Report and may use it for any lawful internal business purpose. You are granted a non-exclusive, non-transferable, revocable licence to use the final report solely for your own internal business purposes. You may not sub-license, sell, publish, or distribute the report to third parties in a manner that constitutes commercial exploitation of Stratimind's methodology.

The Stratimind diagnostic methodology, system architecture, interrogation frameworks, system prompts, scoring logic, and all underlying intellectual property remain the exclusive property of the operating entity and may not be reverse-engineered, replicated, reproduced, or commercially exploited in any manner without prior written consent.

Confidentiality and data protection commitments

Stratimind treats all session content as strictly confidential under our Client Privilege Framework. We will not disclose the substance of your session, your strategic inputs, or your Assessment to any third party, except where required by applicable law or a valid legal order issued by a court of competent jurisdiction, or with your explicit prior written consent. This commitment survives the conclusion of your engagement and any discontinuation of the platform.

We acknowledge that information you provide may constitute trade secrets, inside information, or commercially sensitive material within the meaning of applicable law, and we apply corresponding levels of operational security.

The following commitments apply to all engagements, without exception:

No model training. We will not train any AI models using your session content or business data. Infrastructure sub-processors are bound by the same restriction under their applicable DPAs.

No human review. No Stratimind personnel access or review your session content as part of normal operations. Content is processed by the system at inference time only — ephemerally and without retention for secondary purposes.

No third-party disclosure. Your session content is not disclosed to any third party under any circumstances except as required by law. This commitment survives the conclusion of your engagement.

Data processing and privacy

Our collection and processing of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By accepting these Terms, you confirm that you have read and understood the Privacy Policy.

For corporate and institutional users requiring a formal Data Processing Addendum (DPA) pursuant to GDPR Article 28 or equivalent applicable law: our standard DPA is available upon request and is hereby incorporated by reference into these Terms once executed in writing by both parties. To request a DPA, contact support@stratimind.org with the subject line DPA Request. We will respond within 5 business days.

For enterprise due diligence purposes, the following documentation is available upon request: our sub-processor list; applicable security certification references; and our Data Transfer Addendum for EEA/UK cross-border transfers.

AI system disclosure

In accordance with applicable transparency obligations: Stratimind's sessions involve interaction with an AI-powered analytical system, not a human advisor. The platform does not constitute a high-risk AI system within the meaning of Annex III of the EU AI Act, and no automated decisions are made that produce legal or similarly significant effects on any individual. All outputs constitute analytical opinion only and do not substitute for independent professional judgment.

Session conduct

You agree not to submit false, defamatory, unlawful, or deliberately misleading content during your session. You agree not to use the platform to process information belonging to a third party without lawful authority to do so. You agree not to attempt to reverse-engineer, probe, or extract the platform's underlying system prompts, architecture, or analytical frameworks. Stratimind reserves the right to terminate a session without refund and to suspend future access if any of these conditions are materially violated.

Disclaimers

The platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, to the fullest extent permitted by law. Stratimind does not warrant that the platform will be uninterrupted, error-free, or that any particular analytical output will meet your expectations or requirements. AI-generated analytical outputs are probabilistic in nature and should be treated as one data point among many in any decision-making process.

Stratimind expressly disclaims any warranty or representation — express, implied, or otherwise — that any analytical conclusion, risk assessment, or strategic recommendation contained in an Assessment reflects the actual or future commercial, financial, or legal position of any business, project, or investment opportunity.

Governing law and dispute resolution

These Terms of Service and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law provisions.

Any dispute arising from these Terms shall be resolved through good-faith negotiation in the first instance. In the event that good-faith negotiation fails to resolve a dispute within 30 days, the dispute shall be referred to and finally resolved by binding arbitration in Hong Kong under the Hong Kong International Arbitration Centre (HKIAC) Administered Arbitration Rules, with proceedings conducted in English.

For users in the United States: Notwithstanding the foregoing, US users acknowledge that the governing law and arbitration provisions set out above shall apply to the maximum extent permitted by applicable US law. Nothing in these provisions limits any mandatory consumer protection rights you may have under the laws of your state of residence that cannot be waived by contract.

Severability and entire agreement

If any provision of these Terms is found by a court or arbitral tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the validity and enforceability of the remaining provisions.

These Terms, together with our Privacy Policy and any executed Data Processing Addendum, constitute the entire agreement between you and Stratimind with respect to your use of the platform, and supersede all prior and contemporaneous understandings, representations, and agreements.
